Host Factor may allow you to utilize messaging features to communicate with other users of the Service. Our Website also allow you to access certain services, software and/or other content that is available to purchase from Host Factor. Subject to your compliance with these Terms, Host Factor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use and access our Service. Host Factor reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. Host Factor reserves the right to refuse any user access to the Services without notice for any reason, including but not limited to a violation of the Terms. If you violate these Terms, the Company reserves the right to issue you a warning regarding the violation or immediately terminate or suspend any or all Accounts you have created using the Service. You agree that the Company need not provide you notice before terminating or suspending your Account(s), but it may do so.
You agree to receive communications from us electronically, such as email, text, or mobile push notices, or notices and messages on the Service. For any direct marketing messages, we will ensure that we obtain your consent first, and make it simple for you to opt out.
By using the Service or providing information to us, you agree that we may communicate with you electronically regarding security, privacy, and administrative issues relating to your use of the Service, and that all agreements, notices, disclosures, and other communications that Host Factor provides to you electronically satisfy any legal requirements that such communications be in writing.
You may use our Service to send messages to other users of the Service. You agree that your use of the Service will not include sending unsolicited marketing messages or broadcasts (i.e., spam). Payments will be processed exclusively by Stripe, Inc. ("Stripe"), a third-party service. By submitting payment through their service, you agree their terms of use. Please visit https://stripe.com for more information.
By providing Host Factor and/or Stripe with a payment method, you (i) represent that you are authorized to use the payment method you provided and that any payment information you provide is true and accurate; (ii) authorize Host Factor and/or Stripe to charge you for the requested Services; and (iii) authorize Host Factor and/or Stripe to charge you for any paid feature of the Services you choose to sign up for or use while these terms are in effect. We may bill you (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for Services. We may charge you up to the amount you have approved. We will notify you in advance of any change in the amount to be charged for recurring subscription Services. We may bill you at the same time for more than one of your prior billing periods for amounts that have not previously been processed.
YOU ACKNOWLEDGE AND AGREE THAT GAME SERVERS YOU ACQUIRE HAVE NO MONETARY VALUE AND CANNOT BE REDEEMED FOR CASH, AND THAT YOU ARE FULLY LIABLE FOR ALL CHARGES TO YOUR ACCOUNT, INCLUDING BUT NOT LIMITED TO ANY UNAUTHORIZED CHARGES. WE ARE NOT LIABLE FOR ANY FINANCIAL LOSS YOU MAY INCUR.
Any use of any of our Services to infringe copyright or trademark law is unacceptable. If you are found to be or alleged or suspected of infringing copyright or trademark law from a service provided through us, we reserve the right to cancel your service immediately without warning or informing you. This includes using nulled or cracked versions of any form on our Website.
We are not liable for any financial loss that you may incur while using Services, this includes service terminations, suspensions and any other form of interruption.
Your service with us will be automatically renewed at the end of your billing period. In order to prevent your service from being renewed automatically you must inform Host Factor by either submitting a cancellation request via our website (by logging into your account, selecting your server, and then clicking the "Cancel" button in the panel), or by contacting us (please see our Contact Us page for more information).
Host Factor reserves the right to change the price of Services. Price changes for Services will take effect at the start of the next subscription period following the date of the price change. As permitted by local law, you accept the new price by continuing to use Services after the price change takes effect. If you do not agree with the price changes, you have the right to reject the change by unsubscribing from Services prior to the price change going into effect.
There are two types of cancellations: "Immediate" and "End of Billing Period." An Immediate cancellation will be processed within 24 hours of submission of the cancellation request. All Immediate cancellations will result in a pro-rated refund in credits to the user's account. An End of Billing Period cancellation will be processed on or after the day of your billing date. Unless otherwise requested, all cancellations will be processed as an End of Billing Period cancellation. Where a cancellation request is submitted after the respective billing day, it is entirely the discretion of Host Factor whether a refund shall be provided.
If a payment is not received after the stated due date on the invoice, your service will be suspended. Your access to our Services will be reinstated upon receipt of payment. Our payment processor Stripe will continue to attempt to charge your payment method once a day up until a cancellation request is received, or your service is terminated. We will attempt to charge you while your service is suspended. If payment is not received within fifteen (15) days after the stated due date on the invoice, your service will be terminated and all data belonging to your service will be irreversibly deleted. Service cannot be reactivated upon termination.
Host Factor cannot guarantee 100% uptime for any of Services, but we strive to provide as close to this time as possible. Sometimes issues can occur which may affect the Services we provide to you. By using Services you acknowledge that this can happen and that we will do our up most to resolve any issues that occur within a reasonable period of time.
Refunds will not be provided in circumstances where downtime is caused by settings or game file modifications made by users.
By using Services you accept responsibility for poor performance or high latency caused by your installation of third-party modifications or your adjustment of server settings. Host Factor is not responsible for any poor performance caused by server setting modifications made by the user.
Sometimes we will need to perform essential maintenance across our network. We will inform all affected customers at least 24 hours prior to anticipated downtime. We will make all reasonable efforts to keep downtime to a minimum. We are not responsible for nor will we provide refunds for downtime that results from routine or essential maintenance.
By using Services you take full responsibility for backing up your data. Host Factor will not be held responsible for the backing up of customer data, nor are we responsible for any data loss incurred by using our service. We encourage all customers to take their own backups. Refunds will not be provided due to your failure to backup data or take reasonable measures to protect your data or prevent data loss.
Host Factor will limit you to what you are paying for in respects to your maximum CPU/Memory. Your server may be terminated at any time if it exceeds the maximum amount of Memory. We provide ample warnings when your server is at 80% and 90% Memory usage on your dashboard. We also provide the ability for a user to upgrade/downgrade their server's Memory limits. Upgrades result in immediate charges of the difference between their currently monthly cost and their resulting monthly costs. Downgrades result in pro-rated credit refunds to the user's account within forty-eight (48) hours of the request.
Host Factor will not be held responsible for any losses that may be incurred as as result of a game server, account, or web hosting being hacked or hijacked. It is your responsibility to keep all your login details and passwords secure.
Host Factor does its best to provide a fast setup. Sometimes due to various reasons, manual intervention may be required which means setup may be delayed until our office hours. Depending on the number of orders in our system, this may take up to 72 hours during particularly busy periods.
Host Factor reserves the right to terminate any service that is not paid on the due date indicated on all invoices. In the event of termination/cancellation, we reserve the right to delete your data and all backups in our system.
Host Factor shall not be held responsible, or be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement, when and to the extent such failure or delay is caused by any acts of God, flood, fire, earthquake, epidemic, pandemic, public health emergency, Covid-19, or explosion; war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest; embargoes or blockades in effect on or after the date of this Agreement; national or regional emergency; strikes, labor stoppages or slowdowns, or other industrial disturbances; the passage of Law or any action taken by a governmental or public authority, including imposing any export or import restriction, quota, or other restriction or prohibition; complete or partial government shutdown; or a national or regional shortage of adequate power, telecommunications, or transportation (each of the foregoing, a "Force Majeure Event"), in each case, provided that (i) such event is outside the reasonable control Host Factor; (ii) Host Factor provides notice of the Force Majeure event to the user, stating the period of time the occurrence is expected to continue; and (iii) Host Factor uses diligent efforts to end the failure or delay and minimize the effects of such Force Majeure Event.
Host Factor will not be held liable for payments or donations made or received in exchange for virtual or physical goods on a server. Except as otherwise provided herein, in no event will Host Factor be liable under this agreement under any legal or equitable theory, including breach of contract, tort (including negligence), strict liability, and otherwise, for any consequential, incidental, indirect, exemplary, special, enhanced, or punitive damages whether arising out of breach of contract, tort (including negligence), or otherwise, regardless of whether such damage was foreseeable and whether either party has been advised of the possibility of such damages.
Host Factor reserves the right to modify this Terms of Service and any other documents incorporated by reference at any time. It is your responsibility to check our website regularly for any updates. The date of our last modification of these terms will be displayed at the top of these terms.
Host Factor will terminate your access to the Service if your game server IP gets blacklisted by the developers or owners of a game. Host Factor will not provide a refund for the remainder of the billing period in which your access was terminated.
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them and apply to all access to and use of the Website thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website.
Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page each time you access this Website so you are aware of any changes, as they are binding on you.
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period.
